What Does A Corporate Lawyer Do?

If you’ve ever considered getting into law then you’re not alone, many high-school graduates go for careers in law due to the high salary and numerous opportunities in the field. But what are the best streams of law to study and what best suits your talents? If you haven’t spent too much time thinking about this then in this article we’ll be examining one of the most in-demand and prestigious options you can take, which is a career as a corporate lawyer. So if you’re considering taking up law, let’s take a look at what the corporate lawyer does and how you can develop your own skills to take up this lucrative field.

What is a Corporate Lawyer?

In essence, the corporate lawyer is any lawyer who is trained to provide legal assistance to corporations and companies. These don’t only include large companies meaning they can vary in size and type. The regular roles of a corporate lawyer usually involve things like dealing with corporate mergers, and acquisitions, developing legal documents and providing advice on the company’s financial conduct.

It’s important to note that, unlike a lot of other lawyers, as a corporate lawyer you won’t be representing clients in court. Instead, your job will involve things like writing reports or consulting on big decisions like whether to go ahead with certain investments or documenting company policies. This might seem a little less exciting than being in the thick of the action but this doesn’t stop many from pursuing this lucrative and rewarding field.

The knowledge required to practise as a corporate lawyer includes the understanding of business laws, regulations, and policies and how they can apply this to practical situations. They will also need to possess well-developed soft skills such as communication, negotiation, managing teams as well as client management and support.

The Qualifications Needed to be a Corporate Lawyer

We’ve gone through very briefly what general skills are required but where can you get these skills? While it might be possible to possess a solid foundation through self-education, most skills are developed through higher education study, either in-person or online at an institution. Most universities can offer everything from the bachelor of law degree to the Juris Doctor degree, giving most of the knowledge, skills and practical experience to succeed in the field of law.

Like almost all higher-education graduates, most corporate lawyers will need to first complete their high school or secondary education so they have a basic foundation. Then they will need to continue on to university and undertake a degree in the field of law, once they have graduated from their corporate law program there might be additional tests or work experience they will need to undertake before they are ready to practise.

The Duties of a Corporate Lawyer

The roles and duties of a corporate lawyer can be very vast and include an array of responsibilities depending on the corporation or clients they’re serving. While the main duties include advising about law matters they can even extend to things such as dispute resolution or even accounting.

Provide Legal Advice

The most important duty is the ability to provide legal advice to clients and companies. They need to be well-versed in the legal language as well as the processes and procedures related to their area of practice. This includes researching documents and contracts, as well as providing guidance on legal matters.

Drafting Corporate Contracts and Agreements

Corporate lawyers will also be tasked with drafting contracts and agreements between multiple parties, including corporate clients, vendors or other entities. They need to ensure that the documents accurately reflect the wishes of all parties involved in the agreement.

Represent Clients in Litigation

If a dispute arises that cannot be solved through negotiation, it is up to a corporate lawyer to represent the corporation in court. This may involve them presenting the client’s case and arguing points of law before a tribunal or jury, as well as engaging with opposing counsel.

Assist Clients in the Creation of Companies and Policies

The formation of a new company can be complicated and time-consuming. A corporate lawyer will ensure that all the necessary documents, such as articles of incorporation or sale/lease agreements, are properly prepared and filed. They may also assist with developing company policies in order to comply with relevant laws and regulations.

Assisting in the Resolution of International Disputes

In today’s globalised world, corporations often need to resolve disputes across international borders. Corporate lawyers must be able to provide appropriate advice on the legal requirements of different countries and assist in finding effective solutions.

Types of Cases and Transactions Typically Handled by a Corporate Lawyer

The corporate lawyer is usually involved in multiple areas of the operation of businesses as the importance of law affects almost every aspect of corporations. When your corporation begins to grow then the more involvement corporate lawyers will typically have.

They commonly assist companies with legal needs such as mergers and acquisitions, contract negotiation, intellectual property rights, and tax issues. Corporate lawyers could also work with startup companies, helping them navigate the legal requirements involved in setting up a new business. They also advise clients on issues related to employment law and provide guidance on regulatory compliance.

While these are just the surface of what is possible in terms of cases that corporate lawyers take care of, there are many other hats you could wear during your journey. So with all these diverse responsibilities, it’s obvious that the corporate lawyer plays an essential role in ensuring the success of any business.

Conclusion

The journey into law is long and arduous which is why it is imperative to select the right field. If you think that the duties of corporate law are suitable to you, then it could be a great fit and you’ll spend the rest of your career in a satisfying position. All in all, these professionals are highly sought after for almost every large corporation so you’ll find no trouble getting employment in corporate law.
