Registration is a core governance obligation for organizations seeking public support.

Organizations reviewing charitable registration should begin by identifying where potential donors receive a request. State rules may apply when residents encounter websites, email messages, social media posts, event materials, or telephone appeals. The fundraiser’s physical location is only one factor. The audience, payment process, campaign frequency, and expected income may be equally important under state law.

What Counts as Solicitation?

Solicitation generally involves requesting money, goods, services, or other support for a charitable purpose. Letters, donation pages, grant appeals, text messages, social posts, benefit dinners, and peer-to-peer campaigns may all qualify. A request does not need to produce a gift before the regulation applies. State definitions differ, so each planned method deserves review before public release.

Online Appeals Can Create Duties

An online campaign can reach residents far beyond an organization’s headquarters. Some jurisdictions examine website donations, targeted advertising, recurring gifts, and personal fundraising pages. Broad availability alone may not create filings everywhere. Repeated contacts, geographic targeting, substantial receipts, or state-specific messaging can change that result. Campaign records should document dates, audience settings, income, and communication channels.

A State-by-State Picture

Requirements vary sharply across the country. Current guidance identifies 40 jurisdictions that require nonprofits to register before soliciting residents, while 25 require additional information on solicitation materials. Certain states require registration, others demand disclosures, and several provide limited exemptions. A national policy cannot replace a jurisdiction-by-jurisdiction review because activity thresholds and filing procedures differ.

Exemptions Are Narrow

Religious organizations, schools, hospitals, and smaller charities may qualify for exemptions in selected jurisdictions. Eligibility can depend on annual income, funding sources, organizational purpose, membership, or solicitation method. Some exemptions require a notice, application, or annual confirmation. Leaders should preserve the rule supporting each decision, since an unsupported assumption may create problems during an agency review.

Timing Matters

Many jurisdictions expect registration before an organization solicits residents, although filing windows and thresholds differ. Starting a campaign before approval can result in late fees, corrective filings, or restrictions on future appeals. Renewal dates require equal attention because initial approval rarely ends the obligation. A shared calendar should track applications, annual reports, financial statements, and disclosure changes.

Donor Disclosures

Several states require prescribed language on letters, websites, receipts, or telephone scripts. These statements may identify the supervising office, explain donor rights, or tell contributors how to obtain financial information. Missing language can reduce transparency even when a license remains active. Each communication channel should receive review before publication, with approved wording retained for later campaigns.

Grants and Professional Fundraisers

Registration duties can extend beyond direct public donations. Grant applications may request proof of good standing, while contracts with professional fundraisers can create separate notices, reports, or disclosure requirements. Commercial co-ventures may also need written agreements and public statements. Before accepting outside support, a charity should determine whether another party’s involvement changes its filing responsibilities.

Penalties for Missed Filings

A missed filing can bring monetary penalties, late charges, public notices, or suspension of solicitation authority. Some agencies require corrective reports before restoring compliance. Donors, grantmakers, and board members may also treat an unresolved lapse as a governance concern. Correction usually starts with identifying affected campaigns, submitting overdue forms, and preserving evidence of remedial action.

Maintain a Clear Record

A dependable file should contain solicitation copy, launch dates, intended audiences, gross receipts, exemption analysis, submitted forms, payment confirmations, and renewal deadlines. Board minutes can document approval for higher-risk campaigns. Organized records help staff answer agency questions without having to reconstruct past decisions. They also support reliable handoffs when employees or outside advisers change.

A Practical Compliance Check

Before launching an appeal, an organization must ask five questions:

  2. What communication channels will be used?
  3. Could projected income cross a state threshold?
  4. Does an exemption apply?
