Zenith Hygiene Group, the UK’s largest integrated, independent manufacturer, supplier and distributor of cleaning and hygiene chemicals and products, is delighted to announce it has entered into an exclusive agreement to acquire CCL Pentasol (‘CCLP’), a UK-based supplier of chemicals for the Food, Dairy, Brewing, Beverage and Pharmaceutical industries, for an undisclosed sum.

From its inception in 1985, CCL Pentasol has adopted a flexible, proactive response to meeting its customers’ requirements. Every product is designed and formulated to meet the very high standards of modern Hygiene in the Food and Beverage industries. The company employs 55 people in the purpose built Manufacturing site at Haydock in Merseyside UK and has a turnover of £8.3m as at 31 August 2015.

The acquisition will be funded through the company’s balance sheet following the new £13.9m funding package from Santander Corporate & Commercial secured in April 2016, and will allow Zenith Hygiene to enter new growing markets such as Water Treatment, the Food, Dairy, Brewing, Beverage and Pharmaceutical industries. Water treatment, a completely new market for Zenith Hygiene, is expected to grow in importance for businesses in the future both in terms of overall hygiene and also the delivery of safe, clean water to customers as water becomes more of a precious commodity.

Alex MacDonald, CCL Pentasol Managing Director, will join the Zenith Hygiene Board.

Completion is expected by the end of June 2016.

Ringo Francis, Zenith Hygiene Group CEO, said:

“We’re delighted to be announcing this exclusive agreement to acquire CCL Pentasol today. The acquisition will open Zenith Hygiene to new markets, strengthening our position in the Food and Beverage industries, and provide significant growth opportunities for the business. We look forward to working closely with the CCL Pentasol team to ensure a smooth transition and complete the transaction as quickly as possible. Going forward, we will continue to look for opportunities to acquire businesses like CCL Pentasol which will drive meaningful growth for the future.”

Alex MacDonald, CCL Pentasol Managing Director added:

“Zenith Hygiene is one of the most respected independent manufacturers and suppliers of cleaning and hygiene chemicals and products in the UK, and we are very excited to be joining Ringo and his team. We’re confident that together we will continue to drive value for customers, partners and our employees in the UK.”
