During the summer of 2014, Lee International IP & Law Group represented a certain company that operates numerous chains of restaurants in Korea under many different brands (the “Client”) in selling one of its brands (the “Business”) to certain buyers (the “Buyers”).
The deal involved a demerger of the Business from the Client and thereafter, the purchase and sale of shares of the Business among the Client and the Buyers. We handled the entire demerger process and the negotiations for the sale and purchase of the shares of the Business and successfully closed the deal. Along with the Client, we worked closely with the Client’s accounting firm (one of the Big Three accounting firms) and opposing counsel throughout the entire deal.
Based on our experience, we believe effective communication, cooperation and transparency among the parties involved are vital in ensuring the smooth running of a major deal.
