Gattai Minoli Agostinelli, White & Case And Facchini Rossi Advise Cvc On The Acquisition Of Recordati

The law firms Gattai Minoli Agostinelli & Partners, White & Case LLP and Facchini Rossi & Soci have advised funds managed by CVC Capital Partners in relation to the acquisition of a controlling stake in Recordati from the Recordati family.
Recordati is a global pharmaceutical group founded in Italy in 1926 and since 1984 it has been listed on the Milan Stock Exchange under the FTSE MIB index.

The completion of the transaction is subject to the receipt of antitrust clearances.

Gattai Minoli Agostinelli & Partners has advised CVC on the M&A and the management reinvestment matters with a team comprising partners Bruno Gattai, Gerardo Gabrielli, Nicola Brunetti and Lorenzo Cairo, of counsel Prof. Marco Ventoruzzo and associates Lorenzo Fabbrini, Michele Ventura e Maria Persichetti.

White & Case LLP has advised CVC on the M&A and LP co-investment matters with a team comprising partners Michael Immordino (London and Milan), Ferigo Foscari and Leonardo Graffi (all Milan), Mike Weir and Steve Worthington (all London), associates Alessandro Seganfreddo, Alessandro Picchi, Andrea Pretti, Nicolò Miglio and Nicola L’Erario (all Milan), Elena Ruggiu and Victor Aberg (all London).

White & Case LLP has also advised CVC on the financing of the transaction with a team led by partners Michael Immordino (London and Milan), Iacopo Canino and Alessandro Nolet (all Milan), Martin Forbes and James Greene (all London) and associates Silvia Pasqualini (Milan) and Benjamin Morrison (London).

Studio Tributario Associato Facchini Rossi & Soci team has advised CVC on the tax structuring and due diligence of the transaction with a team comprising partners Luca Rossi, Giancarlo Lapecorella, Marina Ampolilla and associates Massimiliano Altomare, Giacomo Ficai, Andrea Porro, Sara Flisi, Andrea Basi, Gianluca Fossa e Luca Bertolo.
